1. Agreement to these terms
These Terms of Use and End User License Agreement (the “Terms”) are an agreement between you and VEXitEY, Inc. (“VEXitEY,” “we,” “us,” or “our”). They govern your use of our public website at vexitey.com and Client Care, our private client portal at clientcare.vexitey.com (together, the “Services”). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Services.
Our Privacy Policy explains how we handle information collected through the Services.
2. Eligibility and authorized users

3. License to use Client Care (End User License Agreement)
Subject to your compliance with these Terms, VEXitEY grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Client Care solely for your organization’s internal business purposes in connection with its relationship with VEXitEY.
You may not, and may not permit others to: copy, modify, or create derivative works of Client Care; sell, rent, lease, sublicense, or otherwise make Client Care available to anyone other than authorized users; reverse engineer, decompile, or attempt to derive the source code of Client Care, except to the extent applicable law expressly permits it; or remove any proprietary notices. All rights not expressly granted in these Terms are reserved by VEXitEY.
4. Acceptable use
You agree not to:
- use the Services in violation of any law or regulation or the rights of others;
- attempt to gain unauthorized access to the Services, other accounts, or any related systems or networks;

- share your login credentials or allow anyone else to use your account.
5. Account security
You are responsible for keeping your Client Care login credentials confidential and for activity that occurs under your account. Notify us promptly at info@vexitey.com or (815) 749-0600 if you believe your account has been accessed without authorization.

11. Limitation of liability
To the extent permitted by law, VEXitEY will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to these Terms or the Services, even if VEXitEY has been advised of the possibility of such damages. To the extent permitted by law, VEXitEY’s total liability for all claims arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid to VEXitEY for use of Client Care during the twelve months before the claim arose or one hundred U.S. dollars (US$100). These limitations do not apply to liability that cannot be limited under applicable law, including liability for fraud, gross negligence, or willful misconduct.

You agree to indemnify and hold harmless VEXitEY and its officers, employees, and agents from third-party claims, losses, and reasonable expenses, including reasonable attorneys’ fees, arising from your misuse of the Services or your violation of these Terms.
13. Suspension and termination
VEXitEY may suspend or terminate your access to Client Care if you violate these Terms, if your organization’s relationship with VEXitEY ends, or if needed to protect the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive termination, including Sections 6 and 10 through 16, will survive.
14. Changes to these terms
We may update these Terms from time to time. When we do, we will post the updated Terms on this page and change the “last updated” date above. Your continued use of the Services after an update means you accept the updated Terms.
